Governance at Leighton

This Corporate Governance Report discloses the extent to which the Company has followed the ASX Corporate Governance Council’s (Council) Corporate Governance Principles and Recommendations (Principles and Recommendations) during the full financial year ended 30 June 2010 (Financial Year). Each of the eight principles and their supporting recommendations are addressed. Where appropriate the Company has also considered the recent amendments to the Principles and Recommendations which will take effect from 1 January 2011.

In summary, the Company has followed all of the Principles and Recommendations set by the Council for the Financial Year, other than Council Recommendation 2.1. An explanation of why this recommendation was not followed is set out in the Company’s response to Principle 2.
